These Terms and Conditions ("Terms") govern your use of the Jemixo Technologies Private Limited ("Jemixo", "we", "us") website, software platform, and related services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, using our software, or accessing our website, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of your business, and agree to comply with all applicable laws and these Terms.

2. Our Services

Jemixo provides cloud-based retail management software including inventory management, GST billing, customer relationship management, staff management, analytics, and related services for jewellery stores, clothing boutiques, legal professionals, and other retail businesses in India.

3. Account Registration

• You must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized account access.
• One account per business entity unless otherwise agreed in writing.

4. Subscription & Payments

4.1 Pricing

Subscription fees are as published on our website. We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.

4.2 Billing

Subscriptions are billed monthly or annually in advance. All amounts are in Indian Rupees (INR) inclusive of applicable GST. Payments are processed through secure payment gateways.

4.3 Free Trial

New users get a 14-day free trial. No credit card is required for the free trial. At the end of the trial, you must subscribe to continue using the service.

5. Acceptable Use

You agree not to:

• Use the service for any illegal purpose or in violation of applicable laws.
• Attempt to reverse-engineer, hack, or compromise our systems.
• Share your account credentials with unauthorized users.
• Upload malicious code, viruses, or harmful content.
• Use our service to send unsolicited messages (spam).
• Resell or sublicense access to our services without written permission.

6. Intellectual Property

Jemixo and its licensors own all intellectual property rights in the software, website, and content. You are granted a limited, non-exclusive, non-transferable license to use our software solely for your internal business operations. Your business data (inventory, customers, billing records) remains your property.

7. Data & Privacy

Your use of Jemixo is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your business data. We process your data only to provide and improve our services.

8. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted service. Planned maintenance will be announced in advance. We are not liable for downtime caused by third-party services, internet outages, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by Indian law, Jemixo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services. Our total liability shall not exceed the fees paid by you in the 3 months preceding the claim.

10. Termination

You may cancel your subscription at any time. We may suspend or terminate your account for breach of these Terms with or without notice. Upon termination, you may export your data within 30 days. We will purge your data within 30 days of the export period.

11. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Sikar, Rajasthan, India. We encourage resolution of disputes through good-faith negotiation before initiating legal proceedings.

12. Changes to Terms

We may update these Terms periodically. We will notify you via email or in-app notification 14 days before significant changes take effect. Continued use after the notice period constitutes acceptance.
